TERMS OF

1. Scope

These Terms of Use ("Terms") govern your access to and use of AI models, software, data products, and services ("Products") provided by Tabularis GmbH ("Tabularis", "we", "us") through any distribution channel, including but not limited to: our website (tabularis.ai), HuggingFace, Databricks Marketplace, AWS Marketplace, and direct licensing.

By accessing or using our Products, you agree to these Terms.

2. License Grant

Subject to these Terms and any applicable license agreement, we grant you a non-exclusive, non-transferable, revocable license to use our Products for your internal business purposes.

You may:

• Use our models for inference on your own data within your organization
• Integrate our models into your internal data pipelines and workflows
• Deploy our models on your own infrastructure

You may not:

• Redistribute, sublicense, resell, or share our paid Products with third parties
• Use our Products to build a competing product or service
• Reverse engineer, decompile, or extract model weights from compiled/encrypted distributions (this does not apply to openly licensed models on HuggingFace)
• Remove or alter any proprietary notices, labels, or attributions

3. Open Source Models

Some of our models are published under open-source licenses on HuggingFace (e.g., Apache 2.0). For those models, the applicable open-source license governs your use. These Terms apply to all other Products and services, including paid Marketplace listings, enterprise licenses, and custom model deliveries.

4. Databricks Marketplace

Products accessed through Databricks Marketplace are additionally subject to the Databricks Marketplace terms and conditions. In case of conflict, the more restrictive terms apply. Access to paid Products on Databricks Marketplace requires a separate commercial agreement between you and Tabularis.

5. Your Data

You are solely responsible for ensuring that your use of our Products complies with applicable data protection laws, including the GDPR.

6. Acceptable Use

You agree not to use our Products to:

• Violate any applicable laws or regulations
• Process personal data without a valid legal basis under applicable law
• Generate content that is illegal, harmful, or infringes on third-party rights
• Conduct surveillance or track individuals without proper legal authority
• Circumvent technical limitations or security measures

7. Payment and Billing

For paid Products, pricing and payment terms are agreed upon separately between you and Tabularis. All fees are exclusive of applicable taxes. Invoices are due within 30 days of issue unless otherwise agreed. Late payments may incur interest at 9 percentage points above the ECB base rate (§288 BGB).

8. Warranty Disclaimer

Our Products are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or accuracy.

Specifically:

• We do not guarantee that our PII detection models will identify all personal data in all cases
• We do not guarantee model outputs are error-free
• Our models are tools to assist your compliance efforts, not a substitute for professional legal advice or manual review

9. Limitation of Liability

To the maximum extent permitted by law:

• Tabularis shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of our Products
• Our total aggregate liability for any claim arising from these Terms shall not exceed the fees you paid to us in the 12 months preceding the claim
• This limitation does not apply to damages caused by willful misconduct or gross negligence (§§ 521, 599 BGB)

10. Indemnification

You agree to indemnify and hold Tabularis harmless from any claims, damages, or expenses arising from your use of our Products in violation of these Terms or applicable law.

11. Term and Termination

These Terms remain in effect while you use our Products. We may terminate or suspend your access at any time if you breach these Terms.

Upon termination, you must cease all use of our paid Products and delete any copies in your possession (except as required by law or where open-source licenses apply).

12. Changes

We may update these Terms from time to time. Material changes will be communicated via email or through the relevant distribution platform at least 30 days before taking effect. Continued use after changes constitutes acceptance.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany. The courts of Heilbronn, Germany have exclusive jurisdiction for any disputes arising from these Terms.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.
